Copyright License Agreement By the Democratic Parties of Door, Kewaunee and Brown Counties, known as the Tri-County Influence Campaign or TIC The following Agreement is made by the Licensor, the Democratic Parties of Door, Kewaunee and Brown Counties (also known as the Tri-County Influence Campaign, or TIC), for temporary use of the Work specified below, by the “Licensee”, ____________________________________________, per the terms of this Agreement. Section 1: Grant of License Licensor TIC retains ownership and copyright of all material, work, products, art, graphics, and language, collectively referred to below as the “Work”, and is granting only the temporary use of these specific works: ● The phrase: “Vote for Democrats. They vote for US” ● Graphic Art: see Exhibit A Licensor TIC grants to Licensee the nonexclusive right to reproduce and distribute the Work under the terms and conditions below. Section 2: Restrictions (a) Licensee may not modify the phrase: “Vote for Democrats. They vote for US.” (b) Licensee may not modify the graphic design provided in Exhibit A. (c) Licensee may make only limited use of additional text, format and or graphics, in conjunction with the Work. (See Right of Final Review, below) (d) Licensee may only use the Work within a truthful, positive, and respectful context. (e) Use of the Work must include the legal affiliation statement required by law. (f) The Work cannot be used in a context where the message is advocating for or against election of a specific candidate per Wisconsin and Federal Election laws. Section 3: Right of final review. Licensor TIC has the right of final review, prior to publication, if the Work will include additional material constituting more than 10% of that Work beyond the addition of the required legal affiliation statement. Section 4: Term and Termination of Agreement This temporary license begins on the date the Agreement is signed by both parties and terminates at midnight on December 31, 2024, or immediately upon breach by the Licensee of any terms of this Agreement. Upon termination, the Licensee must immediately cease the posting, publishing, or distributing of all material which includes the licensed Work and must take down or otherwise remove all materials containing the Work. Any use beyond the term is a breach of this Agreement. Section 5: No assignment or transfer. The Licensee may not resell or transfer its rights under this Agreement. Section 6: Credit. In addition to the legally required affiliation statement from your County Party, all use of the Work will include the following phrase or text: ©️2022 Tri-County Influence Campaign (TIC). In consideration of the use of the licensed Work, Licensee has made a donation of $______________ to the Democratic Party of Kewaunee County, on behalf of the Licensor. Section 8: Ownership and use of material. Licensor TIC owns the copyright in the Work. No transfer of that ownership occurs under this Agreement. Licensee acknowledges the validity of Licensor’s copyright in the Work and will not challenge the Licensor’s copyright or help a third party make a challenge against it. Section 9: Indemnification. Should the Licensee violate any local, state or federal laws during their use of the licensed Work, the Licensee takes all responsibility for such violation and shall pay all expenses and costs relating to any such violation. Section 10: No agency relationship. The parties are not in an agency relationship or any other relationship except as that of Licensor and a Licensee. Section 11: Notice. This Agreement is governed by the laws of the State of Wisconsin. Section 13: Counterparts/electronic signatures. Should the parties sign the agreement in different locations or use electronic devices to transmit signatures (e.g., fax machines or computers), all of the separate pieces will be considered part of the same agreement. Section 14: Entire agreement. This document represents the entire Agreement between Licensor and Licensee.
